General Terms and Conditions (GTC)
1. Scope
These General Terms and Conditions (GTC) apply to all contracts concluded between the Institut de Résilience Émotionnelle, operating under the brand NoPanicCoach, and its customers via the website https://nopaniccoach.com.
They apply to all products and services offered, including in particular:
- books;
- workbooks;
- e-books;
- digital downloads;
- audio content;
- affirmation cards;
- coaching services;
- online products;
- other digital content.
Any terms and conditions of the customer that deviate from these GTC shall not apply unless their applicability has been expressly agreed to in writing.

3. Subject Matter of the Contract
The website offers, in particular, the following products and services:
- physical books;
- printed workbooks;
- e-books;
- digital downloads;
- audio files;
- coaching services;
- informational materials;
- other digital products.
The respective product description on the website forms part of the relevant offer.
4. Conclusion of the Contract
The presentation of products and services on our website does not constitute a legally binding offer, but rather an invitation to place an order.
By clicking the “Buy Now”, “Order with obligation to pay”, or a comparable button, you submit a binding offer to enter into a contract.
The contract is concluded only when we expressly confirm your order or begin fulfilling the order.
For digital products, the contract is concluded no later than when the download or access is made available.
5. Prices and Payment Terms
All prices displayed on the website are stated in the respective currency shown.
Any applicable taxes, shipping costs, or other price components are shown separately during the checkout process.
Depending on availability, the following payment methods may be offered:

- other payment methods offered through Shopify.
Payment is due immediately upon conclusion of the contract unless otherwise agreed.
If the customer fails to meet their payment obligation, we reserve the right to withhold delivery of products or access to digital content until payment has been received in full.
6. Delivery and Shipping
Physical products are shipped to the delivery address provided by the customer after successful receipt of payment.
Delivery times depend on the respective product description and the shipping provider.
If a product is temporarily unavailable or delivery is delayed for reasons beyond our control, we will inform you as soon as possible.
The risk of accidental loss of or damage to the goods passes to the customer upon delivery or, where legally permissible, upon handover to the shipping provider.
7. Digital Products and Downloads
Digital products such as e-books, workbooks, audio files, PDFs, or other downloads are provided electronically after successful payment.
Digital content is intended exclusively for personal and private use.
Sharing, reproducing, publishing, renting, reselling, or making digital content publicly available is not permitted without the prior written consent of the Institut de Résilience Émotionnelle.
The customer is responsible for ensuring that they have the technical requirements necessary to download and use the digital content.
8. Coaching Services
The coaching services offered are intended for personal development, knowledge transfer, and individual support.
They do not constitute medical, psychotherapeutic, psychiatric, or other healthcare treatment and do not replace medical diagnosis or therapy.
No specific outcome can be guaranteed, as results depend significantly on the customer's active participation, individual circumstances, and implementation of the content provided.
Before coaching begins, the customer may be required to complete an intake questionnaire in full.
The provider reserves the right to decline coaching requests where providing the service would not appear appropriate for professional, organizational, or ethical reasons.
9. Appointments and Cancellations
Coaching appointments are arranged individually.
If an agreed appointment cannot be attended, we ask that it be cancelled in writing at least 24 hours before the scheduled appointment.
For later cancellations or failure to attend, we reserve the right to charge for the appointment in whole or in part, unless mandatory legal provisions provide otherwise.
If an appointment must be cancelled by the provider, a replacement appointment will be offered as soon as possible. Payments already made for services not provided will be refunded upon request if no replacement appointment is arranged.
10. Customer Responsibilities
Successful coaching or use of our content requires the active participation of the customer.
The customer agrees to:
- provide truthful information;
- provide relevant information where necessary for the provision of the service;
- attend agreed appointments;
- ensure the necessary technical requirements for online appointments;
- use materials provided only within the scope of the agreed use.
Responsibility for personal decisions and their implementation remains with the customer at all times.
11. Right of Withdrawal and Returns
Consumers are entitled to the applicable statutory rights of withdrawal in their country of residence, insofar as these apply to the respective contract.
For physical products, returns and withdrawals may be made in accordance with applicable legal provisions and the withdrawal information published on this website.
For digital products, where legally permissible, the right of withdrawal expires once performance of the contract has begun, provided that the customer has expressly consented to performance beginning before the expiry of the withdrawal period and has acknowledged that this results in the loss of their right of withdrawal.

12. Retention of Title
Delivered goods remain the property of the Institut de Résilience Émotionnelle until all amounts due under the respective contract have been paid in full.
Digital products are provided exclusively under a personal licence to use.
Purchasing digital content does not transfer ownership rights in the content.
13. Copyright and Usage Rights
All content on this website and all products offered are protected by copyright.
This applies in particular to:
- books;
- e-books;
- workbooks;
- digital downloads;
- audio files;
- videos;
- graphics;
- illustrations;
- photographs;
- logos;
- texts;
- coaching materials;
- worksheets;
- QR code content;
- designs;
- NoPanicCoach brand elements.
By purchasing a product, the customer receives only a simple, non-transferable right of use exclusively for personal purposes.
Without prior written consent, the following are prohibited in particular:
- sharing with third parties;
- public distribution;
- reproduction;
- publication;
- rental;
- sale;
- commercial use;
- modification;
- translation;
- digital redistribution;
- uploading to internet platforms or social networks.
Copyright infringements may result in civil and criminal consequences.
14. Warranty and Liability
Statutory warranty rights apply unless otherwise provided in these GTC.
We are liable for damages only in cases of intent or gross negligence and in cases where liability is mandatory by law.
In the event of a slightly negligent breach of essential contractual obligations, liability is limited to the typical and foreseeable damage arising from the contract.
To the extent permitted by law, liability for indirect damages, consequential damages, loss of profits, or other financial losses is excluded.
We accept no responsibility for the content of external websites to which we provide links.
All information, exercises, recommendations, and content are used at the user's own responsibility.
15. Force Majeure
If a contractual obligation cannot be fulfilled, or can only be fulfilled with significant delay, due to circumstances of force majeure, the respective performance deadlines shall be extended for the duration of the impediment.
Force majeure includes in particular:
- natural disasters;
- floods;
- fires;
- power outages;
- pandemics;
- epidemics;
- war;
- terrorism;
- government orders;
- strikes;
- technical failures beyond our control;
- internet outages;
- cyberattacks;
- other unforeseeable events beyond our control.
If a force majeure event lasts longer than three months, both contracting parties are entitled to terminate the contract with respect to services not yet performed.
16. Privacy
The protection of personal data is a high priority for the Institut de Résilience Émotionnelle.
Personal data is processed exclusively in accordance with the applicable privacy laws of Canada and the Province of Québec and, where applicable, the European Union's General Data Protection Regulation (GDPR).

17. Governing Law and Jurisdiction
These General Terms and Conditions are governed by the laws of the Province of Québec and the applicable laws of Canada.
If the customer is a consumer whose habitual residence is in a Member State of the European Union, the mandatory consumer protection provisions of their country of residence remain unaffected.
To the extent permitted by law and where no mandatory jurisdiction applies, the courts at the company's place of business in Québec, Canada, shall have jurisdiction over all disputes arising out of or in connection with this contractual relationship.
18. Severability
If any provision of these General Terms and Conditions is or becomes wholly or partially invalid, unenforceable, or incapable of being enforced, the validity of the remaining provisions shall remain unaffected.
The invalid or unenforceable provision shall be replaced by a legally permissible provision that comes as close as possible to the economic purpose of the original provision.
The same applies to any omissions in these terms.
19. Amendments to These General Terms and Conditions
We reserve the right to amend or supplement these General Terms and Conditions at any time where there are objective reasons for doing so, particularly due to:
- changes in legislation;
- changes in case law;
- technological developments;
- expansion of our services;
- organizational adjustments;
- changes to our business processes.
For contracts already concluded, the General Terms and Conditions applicable at the time the contract was concluded shall continue to apply unless otherwise required by law.

20. Final Provisions
These General Terms and Conditions, together with the Privacy Policy, withdrawal information, and any other applicable contractual documents, form the basis of the contractual relationship between the Institut de Résilience Émotionnelle and its customers.
If individual provisions are not applicable due to mandatory laws in the customer's country of residence, the remaining provisions of these General Terms and Conditions shall remain unaffected.
